Dstitch24 Tie-Ups Private Limited.
1. Introduction
This Direct Selling Agreement is entered into between Dstitch24 Tie-Ups Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in Karnataka, India, and the individual or entity enrolling as a Direct Seller.
By registering or participating in the business, the Direct Seller agrees to comply with the terms of this Agreement and all applicable laws, including the Consumer Protection (Direct Selling) Rules, 2021.
Direct Sellers are independent participants and not employees of the company.
2. Definition of Roles
The company operates through the following categories:
- Channel Partner: Promotes and sells products while also expanding the business network
- Distributor: Distributes and sells products within the network
Both are collectively referred to as Direct Sellers under this Agreement.
3. Nature of Business
The company operates a product-based direct selling model involving garments, fabrics, and customized stitching solutions.
- Income is derived only from the sale of products and services
- No income is offered for recruitment or enrolment
- The business does not promote any pyramid or money circulation scheme
Business Plan Clause:
Details of earnings, incentives, and business structure are provided in the Company’s Business Plan, available on the official website, and may be updated from time to time.
4. Eligibility & Registration
- The Direct Seller must be at least 18 years of age
- Valid KYC documents such as PAN and address proof must be provided
- Participation is voluntary
- No mandatory purchase or joining fee is required
5. Responsibilities of Direct Sellers
Direct Sellers agree to:
- Provide accurate product and business information
- Promote and sell products ethically and lawfully
- Not make false or misleading income claims
- Comply with all applicable laws and company policies
- Maintain professional conduct while representing the company
- Direct Sellers must clearly identify themselves as independent sellers of DStitch24 while interacting with customers
6. Orders, Sales & Payments
- All orders are subject to availability and confirmation
- Payments must be made as per company guidelines
- Proper invoices will be issued for all transactions
7. Refund, Return & Buyback
- Refunds and returns shall be governed by the company’s Return & Refund Policy
- Buyback of unsold inventory shall be governed by the Buyback Policy
- Customized or made-to-order products are not eligible for return or buyback
8. Cooling-Off / Cancellation
- A Channel Partner may cancel their joining/tie-up/registration at any time by informing the company in written form. The Channel Partner ID/account will be deactivated/deleted within 7 to 14 working days without any penalty.
- If a Channel Partner ID remains inactive for a continuous period of 3 months, the ID will be automatically deleted/deactivated as per company policy.
9. Code of Conduct
Direct Sellers shall not:
- Engage in misleading, deceptive, or unlawful practices
- Misrepresent product quality or income opportunities
- Promote pyramid or money circulation schemes
- Use company branding without authorization
10. Termination
The company reserves the right to suspend or terminate any Direct Seller if:
- This Agreement is violated
- Fraudulent or unlawful activities are detected
11. Limitation of Liability
The company shall not be liable for:
- Indirect or consequential losses
- Misrepresentation by Direct Sellers
- Delays due to circumstances beyond its control

13. Governing Law
This Agreement shall be governed by the laws of India.
14. Acceptance
By registering or participating, the Direct Seller confirms that they have read, understood, and agreed to this Agreement.
